PTCL shareholders have given formal approval for the company’s acquisition of Telenor Pakistan and Orion Towers, marking one of the most significant consolidations in Pakistan’s telecommunications industry. The decision was finalized during PTCL’s 9th Extraordinary General Meeting held on November 20, 2025.

The approved resolutions authorize PTCL to acquire 100 percent shares of both Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited from Telenor Pakistan BV. This follows the share purchase agreement signed in December 2023, setting the foundation for PTCL’s most ambitious expansion in over a decade.

The transaction has also cleared the way for PTCL to secure up to $400 million in financing to complete the acquisitions. The funding approval signals strong confidence from PTCL’s shareholders in the company’s long-term strategy to enhance market presence and strengthen network infrastructure.

Telenor Pakistan, one of the country’s major telecom operators, brings with it a sizable subscriber base, extensive spectrum resources and nationwide coverage. Its acquisition is expected to significantly bolster PTCL Group’s footprint while accelerating competition in mobile broadband and digital services.

Orion Towers, meanwhile, owns and operates telecom tower infrastructure across Pakistan. By integrating these assets, PTCL aims to expand its passive infrastructure portfolio, reduce network costs and increase its capacity to support growing 4G and upcoming 5G deployments.

Industry analysts say the consolidation reflects broader regional trends, as telecom operators increasingly merge operations to maximize efficiency, scale and innovation opportunities. For PTCL, the acquisition strengthens its position as a leading integrated communications provider in Pakistan.

With all shareholder approvals now in place, PTCL is expected to move ahead with regulatory and procedural formalities. The deal is likely to reshape the competitive landscape, giving PTCL Group a stronger foundation to drive digital transformation and deliver advanced communication services nationwide.
